  • "Platform" refers to third-party advertising and social media platforms used in service delivery

3. Services Description

Star Vision Consult provides comprehensive digital marketing services, including but not limited to:

  • Targeted Advertising Campaigns (Google Ads, Facebook Ads, etc.)
  • Contextual Advertising
  • Social Media Management
  • Content Strategy Development
  • SEO Optimization
  • Brand Development
  • Marketing Consultation and Strategy

Specific services, deliverables, timelines, and pricing will be outlined in individual service agreements or proposals.

4. Account Registration and Eligibility

Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Provide accurate and complete information
  • Comply with all applicable laws and regulations

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your contact information is current and accurate

5. Client Responsibilities

As a client, you agree to:

  • Provide Information: Supply accurate, complete, and timely information necessary for service delivery
  • Grant Access: Provide necessary access to platforms, accounts, and systems required for service delivery
  • Timely Feedback: Respond to requests for feedback and approvals within agreed timeframes
  • Payment: Make timely payments according to the agreed payment terms
  • Compliance: Ensure all materials and instructions comply with applicable laws and platform policies
  • Cooperation: Cooperate with our team and provide reasonable assistance

6. Payment Terms

Pricing and Fees

  • Service fees will be specified in your service agreement or proposal
  • All prices are in USD unless otherwise stated
  • Prices are subject to change with 30 days' notice for ongoing services
  • Additional services beyond the agreed scope may incur additional charges

Payment Methods

We accept the following payment methods:

  • Credit/Debit Cards (Visa, Mastercard, American Express)
  • PayPal
  • Bank Transfer/Wire Transfer
  • Other methods as agreed upon

Payment Schedule

  • One-Time Projects: 50% upfront, 50% upon completion (or as specified in agreement)
  • Monthly Services: Payment due on the 1st of each month
  • Retainer Services: Payment due according to agreed schedule

Late Payments

  • Invoices are due within 15 days of issuance unless otherwise specified
  • Late payments may incur a fee of 1.5% per month or the maximum allowed by law
  • Services may be suspended for accounts with overdue payments
  • We reserve the right to terminate services for non-payment

Third-Party Costs

Advertising spend, platform fees, and other third-party costs are separate from our service fees and are your responsibility unless otherwise agreed in writing.

7. Intellectual Property Rights

Our Intellectual Property

All content, materials, methodologies, and intellectual property created by Star Vision Consult remain our property unless explicitly transferred in writing. This includes:

  • Proprietary strategies and methodologies
  • Templates and frameworks
  • Software and tools developed by us
  • Our brand, logo, and trademarks

Client-Specific Deliverables

Upon full payment, you receive a license to use deliverables created specifically for your project, including:

  • Custom content created for your campaigns
  • Graphics and creative materials designed for your brand
  • Campaign strategies developed for your business

Client-Provided Materials

You retain ownership of all materials you provide to us. By providing materials, you grant us a license to use them for service delivery.

Third-Party Materials

You are responsible for ensuring you have rights to any third-party materials you provide or request us to use.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the business relationship, including:

  • Business strategies and plans
  • Financial information
  • Customer data and lists
  • Proprietary methodologies
  • Trade secrets

This obligation continues for 2 years after termination of services, except for information that:

  • Is publicly available
  • Was known prior to disclosure
  • Is independently developed
  • Must be disclosed by law

9. Service Guarantees and Limitations

Our Commitment

We commit to:

  • Deliver services with professional skill and care
  • Use industry best practices and standards
  • Provide regular updates and reporting as agreed
  • Maintain open communication throughout the engagement

No Performance Guarantees

We cannot and do not guarantee specific results, including but not limited to:

  • Specific rankings in search engines
  • Guaranteed return on investment (ROI)
  • Specific conversion rates or sales figures
  • Follower counts or engagement metrics

Results depend on numerous factors beyond our control, including market conditions, competition, platform algorithms, and your business operations.

10. Third-Party Platforms and Services

Our services often involve third-party platforms (Google, Facebook, Instagram, etc.). You acknowledge that:

  • We are not responsible for platform policies, changes, or outages
  • Platform policy violations may result in account suspension or termination
  • You must comply with all platform terms of service
  • Platform algorithm changes may affect campaign performance
  • We cannot guarantee platform approval of ads or content

11. Term and Termination

Service Term

  • Project-Based: Services continue until project completion
  • Monthly Services: Month-to-month unless otherwise specified
  • Contract Period: As specified in individual agreements

Termination by Client

You may terminate services by:

  • Providing 30 days' written notice for ongoing services
  • Paying for all work completed and costs incurred
  • Settling all outstanding invoices

Termination by Us

We may terminate services if:

  • You breach these Terms or service agreements
  • Payment is more than 30 days overdue
  • You engage in illegal or unethical activities
  • Continuing services would violate laws or platform policies

Effect of Termination

Upon termination:

  • All outstanding payments become immediately due
  • We will provide final reports and deliverables for paid work
  • Access to our systems and tools will be revoked
  • Confidentiality obligations continue

12. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for lost profits, revenue, data, or business opportunities
  • We are not liable for third-party platform actions or failures

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Star Vision Consult, its officers, employees, and agents from any claims, damages, or expenses arising from:

  • Your breach of these Terms
  • Your violation of any laws or regulations
  • Your violation of third-party rights
  • Content or materials you provide
  • Your use of our services

14. Warranties and Disclaimers

Your Warranties

You warrant that:

  • You have the right to use all materials you provide
  • Your materials do not infringe on third-party rights
  • You will comply with all applicable laws
  • Information you provide is accurate and complete

Disclaimer

Services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

15. Dispute Resolution

Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

Governing Law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles.

Jurisdiction

Any legal action must be brought in the state or federal courts located in Albuquerque, New Mexico.

Arbitration

If informal resolution fails, disputes may be resolved through binding arbitration in accordance with the American Arbitration Association rules.

16. Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Third-party platform outages
  • Pandemics or public health emergencies

17. General Provisions

Entire Agreement

These Terms, together with any service-specific agreements, constitute the entire agreement between parties and supersede all prior agreements.

Amendments

We may modify these Terms at any time. Material changes will be communicated via email. Continued use after changes constitutes acceptance.

Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

Independent Contractors

The parties are independent contractors. Nothing creates a partnership, joint venture, or employment relationship.

18. Acceptable Use Policy

You agree not to:

  • Use our services for illegal purposes
  • Promote illegal products or services
  • Infringe on intellectual property rights
  • Distribute malware or harmful code
  • Engage in fraudulent or deceptive practices
  • Violate third-party platform policies
  • Harass, abuse, or harm others
  • Interfere with our systems or services

21. Acknowledgment

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

If you do not agree to these Terms, you must discontinue use of our services immediately.

These Terms constitute a legally binding agreement between you and Star Vision Consult.
